Scope
Most of our acquisition work starts with a call that opens, we have had an approach. From there we set the timetable, build or break down the data room, and put a partner in every negotiation, so an answer never waits a day for somebody senior to find the time to read the file properly and call you back.
Buy-Side Diligence
Is the revenue contracted or hopeful? Which customer relationships belong to the seller personally, and what happens to them on completion? We read the contracts ourselves and write what we find into the price and the indemnities, rather than into a report nobody acts on.
Preparing a Sale
A buyer will ask for everything. We clean up the cap table, clear the change of control consents and assemble the disclosure before an approach turns into a process, so diligence does not quietly reset the price you agreed in principle or hand the buyer a reason to retrade.
Carve-Outs and Integration
Separating a business is a hundred smaller agreements: transition services, licences, employees, data. We paper each of them before closing, so that day one runs on signed documents instead of goodwill between two management teams who have just met.
