Corporate Counsel at Sterling Amos

Steady Counsel For Growing Companies

Sterling Amos works with owners and boards on the decisions that shape a company: how it is organised, who holds which shares, and what happens when a founder leaves. We draft the documents, explain the tradeoffs and keep a calendar of the filings that keep an entity in good standing with the state.

Many of our corporate clients started as two people with a handshake. We help turn that handshake into bylaws, operating agreements and buy-sell terms that still make sense when the company has thirty employees and a bank loan.

How We Approach It

We begin with a one-hour review of your formation papers, ownership records and recent minutes. From that review you get a short written list of gaps, ranked by risk, with a fee estimate for each item. You decide what we fix and when.

When To Call Us

Call before a new investor joins, before a co-owner exits, or before you sign a loan that asks for a personal guarantee. These moments set terms that are hard to change later, and the cost of a careful review is small next to the cost of a dispute between owners.

Our files are organised so that a future buyer, lender or auditor can follow the history of the company without a guided tour. That tidy record often saves weeks during a sale.

What The Work Covers

  1. 1. Entity formation and state filings
  2. 2. Operating agreements and bylaws
  3. 3. Buy-sell and exit terms between owners
  4. 4. Board minutes and annual records
  5. 5. Investor and lender document review
  6. 6. Ongoing general counsel by the month

Typical Fees

Illustrative only: a formation package for a two-owner company is often quoted as a flat fee near $1,800, and a governance review near $650. Larger matters are quoted in writing after the first meeting.

Expected Timeline

A standard formation is usually complete in one to two weeks once we have the owners’ details. Governance clean-ups take three to six weeks, depending on how many old records need to be rebuilt. We send a short progress note every Friday so you always know which filings are done and which are still waiting on signatures or state processing.

To talk about your situation, call (555) 274-3190 or email hello@sterlingamos.example. Daniel Amos or another attorney on the team will reply within one business day.

Our operating agreement was a two-page download from years ago. Sterling Amos rewrote it before our first investor arrived, and the round closed without a hitch.

They set up a yearly calendar for our filings and minutes. For the first time, our records are in order before the accountant asks for them.

Ben U.Illustrative, company

When my co-owner wanted out, the buy-sell terms they had drafted two years earlier made the conversation short and civil. That clause paid for itself.
